Bill of lading,means a document which evidences a contract of carriage by sea and the taking over or loading of the goods by the carrier,and by which the carrier undertakes to deliver the goods against surrender of the document.A provision in the document that the goods are to be delivered to the order of the document.A provision in the document that the goods are to be delivered to the order of a named person,or to order,or to bearer,constitutes such an undertaking.
提单是作为承运人和托运人之间处理运输中双方权利和义务的依据.虽然一般它不是由双方共同签字的一项契约,但就构成契约的主要项目如船名、开航日期、航线、靠港以及其它有关货运项目,是众所周知的；又运价和运输条件,承运人也是事先规定的.因此在托运人或其代理人向承运人定舱的时候就被认为契约即告成立,所以虽然条款内容是由承运人单方拟就,托运人也应当认为双方已认可,即成为运输契约.因此,习惯上也就成了日后处理运输中各种问题的依据.
提单的主要关系人是签订运输合同的双方：托运人和承运人.托运人即货方,承运人即船方.其他关系人有收货人和被通知人等.收货人通常是货物买卖合同中的买方,提单由承运人经发货人转发给收货人,收货人持提单提货,被通知人是承运人为了方便货主提货的通知对象,可能不是与货权有关的当事人.如果提单发生转让,则会出现受让人、持有人等提单关系人.
